Billionaire Michael Saylor’s Strategy Inc. has priced its 10% Series A Perpetual Stream Preferred Stock (STRE) offering at €620 million ($715 million), marking one of the largest hybrid yield offerings tied to a bitcoin-focused company this year.

Originally slated for €350 million, the raise was upsized due to overwhelming investor demand, reflecting strong institutional confidence in Saylor’s bitcoin-first treasury model. The deal, expected to close on November 13, 2025, comprises 7.75 million shares priced at €80 each, yielding approximately €608.8 million (€702.2 million) in net proceeds after fees.

Bitcoin Remains Core to Strategy’s Vision
Strategy Inc. stated that proceeds will be used for general corporate purposes — notably acquiring additional bitcoin and expanding operational growth initiatives. The move underscores Saylor’s ongoing thesis that bitcoin remains the ultimate reserve asset for corporate treasuries.

Strategy retains redemption rights once less than 25% of the original issuance remains or in specific tax-related cases, offering flexibility while maintaining investor protections.

Investor Safeguards and Redemption Rights
In the event of a “fundamental change”—such as a merger or major restructuring—investors can request buybacks at €100 per share plus unpaid dividends. Each preferred share also carries a €100 liquidation preference, ensuring priority repayment before common shareholders. The daily-adjusted liquidation value ties the stock more closely to market dynamics, offering transparency and fairness to investors.
