Ether Machine Files Draft S-4 to Speed Nasdaq SPAC Merger with Dynamix

Ethereum-focused treasury firm The Ether Machine is accelerating its U.S. listing plans with a draft registration statement on Form S-4 submitted to the Securities and Exchange Commission, the company revealed Tuesday on X.

The S-4 filing supports its proposed merger with Dynamix Corporation (Nasdaq: ETHM), a special-purpose acquisition company. Ether Machine originally unveiled the SPAC plan in July and aims to finalize the deal in the fourth quarter, pending Dynamix shareholder approval at an upcoming extraordinary general meeting.

This public-market push follows a significant balance-sheet boost. Earlier this month, Ether Machine disclosed it added 150,000 ETH in August, increasing total holdings to 495,362 ETH—ranking it the third-largest corporate Ethereum holder, trailing only Bitmine Immersion Tech and SharpLink Gaming.

With the S-4 draft filed and treasury reserves climbing, Ether Machine appears firmly on track to bring one of the world’s largest Ethereum treasuries to the Nasdaq.
